Terms of Service for Profrly

1. Acceptance of Terms By accessing or using Profrly, you agree to be bound by these Terms of Service (“Terms”), all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Modification of Terms Profrly reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 15 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

3. Account Responsibilities

• Registration: To access certain features of the platform, you must register for an account. When registering, you must provide accurate and complete information.
• Security: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
• Account Use: You may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server.

4. Content

• Your Rights: Users retain full ownership of their content. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content through the platform.
• Prohibited Content: You agree not to post, upload, transmit, or otherwise disseminate information that is obscene, indecent, vulgar, pornographic, sexual or otherwise objectionable.
• Enforcement: We reserve the right to remove any content that violates these Terms or is considered inappropriate, offensive, or illegal.

5. Profile and Content Control

• Profile Modification: We reserve the right, at our sole discretion, to modify, alter, or update a user’s profile on Profrly at any time. Such actions may be necessary to prevent impersonation, protect the rights of individuals or groups, or ensure compliance with our community standards and applicable laws.
• Impersonation: You are prohibited from impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity. We take the authenticity of our users’, groups’, events’, and partnerships’ profiles seriously and will take action to correct profiles that are found to be impersonating others.
• Enforcement Actions: In the event of impersonation or other profile misuse, we may edit or remove the offending content, issue a warning, or suspend or terminate your account, based on the severity of the violation. We will endeavor to notify you of the rationale for any modification or action taken on your profile, but reserve the right to act without prior notification when necessary.

7. Intellectual Property The Service and its original content, features, and functionality are and will remain the exclusive property of Profrly and its licensors.

8. Termination We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

9. Governing Law These Terms shall be governed and construed in accordance with the laws of the state of Texas, without regard to its conflict of law provisions.

10. Changes to Service Profrly reserves the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.

11. Disclaimer of Warranties; Limitation of Liability We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.
